1The Service

NexBid is a vehicle pricing decision-support tool that provides estimated retail values and suggested maximum bid prices based on comparable market listing data. The Service is designed for licensed motor vehicle dealers, automotive investors, and industry professionals.

NexBid is not an appraisal service, a valuation guarantee, or a substitute for professional judgment. All estimates are based on available market data at the time of evaluation and are subject to the limitations described in Section 8.

2Accounts

To use the Service, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to:

• Provide accurate and complete registration information
• Notify us immediately of any unauthorized use of your account
• Not share your login credentials with anyone outside your authorized user seats
• Not create multiple accounts to circumvent plan limits

We reserve the right to suspend or terminate accounts that violate these Terms.

3Subscription Plans and Billing

NexBid offers subscription plans with varying evaluation limits and user seats. Current plans and pricing are displayed on our website and may change with 30 days' notice to existing subscribers.

• Subscriptions are billed monthly on the date of initial purchase
• Payment is processed through Stripe, a third-party payment processor
• All fees are in U.S. dollars and are non-refundable except as required by law
• If payment fails, we will attempt to collect for up to 7 days before suspending access
• You may cancel your subscription at any time; access continues through the end of the current billing period
• No long-term contracts are required

Free Trial

New users receive a free trial period as described on the website. The free trial is limited to the number of evaluations and time period specified at signup. Each person is entitled to one free trial. Creating multiple accounts to obtain additional free trials is prohibited.

4Acceptable Use

You agree not to:

• Share your account credentials with individuals or entities not covered by your subscription plan
• Allow concurrent use of a single user login by multiple people
• Use the Service to build a competing product or service
• Scrape, crawl, or extract data from the Service by automated means
• Reverse-engineer, decompile, or attempt to extract the source code, algorithms, pricing formulas, or adjustment methodologies used by the Service
• Resell, sublicense, or redistribute access to the Service or its outputs
• Interfere with the operation of the Service or impose an unreasonable load on our infrastructure
• Use the Service for any unlawful purpose

5User Seats and Access Controls

Each subscription plan includes a specified number of user seats. Each user seat represents one individual person with their own login credentials. User seats may not be shared between individuals.

To protect account security, each user login may only be active on one device at a time. Logging in on a new device will automatically end any existing session. Accounts exhibiting usage patterns inconsistent with the number of authorized users (such as simultaneous activity from multiple geographic locations) may be flagged for review.

6Intellectual Property

All content, features, functionality, algorithms, pricing methodologies, formulas, software code, designs, logos, and trademarks associated with NexBid are and remain the exclusive property of LLINK Auto Sales LLC.

The bid calculation formulas, adjustment rules, comp weighting algorithms, and pricing methodologies embedded in the Service are proprietary trade secrets. You agree not to attempt to extract, reconstruct, or replicate these methodologies.

Your use of the Service does not grant you any ownership interest in the Service or its intellectual property. You retain ownership of any data you input into the Service (VINs, mileage, cost estimates).

7Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

Vehicle evaluation data you create through the Service is stored on our servers and accessible through your account. If you cancel your subscription, your data will be retained for 90 days after cancellation, during which time you may request an export. After 90 days, your data may be permanently deleted.

We do not sell your personal information or evaluation data to third parties.

8Disclaimer of Accuracy — IMPORTANT

THE SERVICE PROVIDES ESTIMATES ONLY. NexBid generates suggested retail values and maximum bid prices based on comparable vehicle listings available through third-party data providers at the time of evaluation. These estimates are not appraisals, guarantees, or promises of actual market value.

Vehicle values are affected by many factors that the Service cannot assess, including but not limited to:

• Actual vehicle condition (mechanical, cosmetic, structural)
• Accident history severity and quality of prior repairs
• Title status (salvage, rebuilt, flood, lemon)
• Local market demand fluctuations
• Reconditioning costs specific to the vehicle
• Transportation costs
• Seasonal pricing variations
• Individual buyer and seller negotiation

You are solely responsible for your bidding and purchasing decisions. The Service is a decision-support tool, not a decision-making tool. We strongly recommend that you apply your own professional judgment, conduct your own inspection, and verify all estimates before committing to any purchase.

LLINK Auto Sales LLC is not liable for any financial loss, missed opportunity, overpayment, or any other damages arising from reliance on estimates provided by the Service.

9Third-Party Services

The Service integrates with third-party services including but not limited to:

• NHTSA for VIN decoding
• MarketCheck for comparable vehicle listings
• Stripe for payment processing
• Supabase for data storage and authentication

We are not responsible for the availability, accuracy, or performance of these third-party services. Disruptions to third-party services may affect the functionality of NexBid.

10Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LLINK AUTO SALES LLC AND ITS OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, revenue, data, or business opportunities
• Any damages arising from your reliance on estimates or outputs of the Service
• Any damages exceeding the total amount you paid for the Service in the 12 months preceding the claim

This limitation applies regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise).

11Indemnification

You agree to indemnify, defend, and hold harmless LLINK Auto Sales LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your bidding, purchasing, or selling decisions made using information from the Service
• Any dispute between you and a third party related to vehicles evaluated through the Service

12Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice.

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13Termination

We may suspend or terminate your account at our discretion if:

• You violate these Terms
• Your payment is overdue by more than 14 days
• We detect unauthorized credential sharing or abuse
• We discontinue the Service

Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 10, 11, and 14 survive termination.

14Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
